Welcome to Safqqa!

These Terms of Use ("Terms") govern your access to and use of the Safqqa website and associated services, including our mobile application (collectively, the "Services"). By accessing, registering, or using the Services, you agree to be bound by these Terms. We reserve the right to update these Terms at any time, and your continued use of the Services following any such update constitutes your agreement to the revised Terms.

Eligibility and Account

    • Age Requirement: You must be of legal age to purchase goods in your country of residence to register on the Safqqa platform.
    • Account Responsibilities: When using or accessing the Services, you agree to:
      • Maintain the confidentiality and security of your account and password.
      • Accept responsibility for all activities that occur under your account.
      • Immediately notify us of any unauthorized use of your password or account or any other breach of security.
      • Provide true, accurate, current, and complete information about yourself and your use of the Services as required by us.
      • Cooperate with us in providing any additional information we may request.

    Intellectual Property Rights

    Except for the limited rights expressly granted under these Terms, all content included on the Safqqa platform, including but not limited to text, graphics, logos, trademarks, images, audio clips, digital downloads, and software, is our property or the property of our licensors ("Intellectual Property Rights"). We (or our licensors, as the case may be) retain all right, title, and interest in and to the Safqqa platform and the Services, including, without limitation, all Intellectual Property Rights therein. Any information, materials, or other content you provide in connection with your use of the Services, including all Intellectual Property Rights therein, will become our property upon submission. You agree that you will not use any of our Intellectual Property Rights without our prior written consent. All rights not expressly granted to you in these Terms are reserved and retained by us or our licensors.

    Limitations of Liability

    Non-Excludable Liabilities: Nothing in these Terms of Use shall limit or exclude a party's liability:

      • for fraud, including fraudulent misrepresentation, perpetrated by that party;
      • for death or personal injury caused by the negligence of that party; or
      • for any other liability that cannot be limited or excluded under applicable law.

    Exclusions and Limitations: Subject to clause 4.1, Safqqa (including its parent company, shareholders, subsidiaries and affiliates, and its directors, officers, agents, employees, suppliers, subcontractors, and licensors) will not be liable, whether based on an action or claim in contract, tort, negligence, breach of statutory duty, or otherwise arising out of or in relation to these Terms of Use for any of the following:

      • Loss of Profits, Data, or Business Interruption: Loss of profits, loss of data or information, business interruption, or other pecuniary loss.
      • Special, Indirect, or Consequential Damages: Any special, indirect, incidental, or consequential damages, even if Safqqa, its affiliates, directors, officers, agents, employees, licensors, subcontractors, or suppliers have been advised of the possibility of such damages.

    Indemnification: You agree to indemnify and hold harmless Safqqa (including its parent company, shareholders, subsidiaries and affiliates, and its directors, officers, agents, employees, suppliers, subcontractors, and licensors) from and against any and all claims, losses, liabilities, damages, expenses, and costs (including reasonable attorneys' fees) arising out of or in connection with:

      • Your use of or inability to use the Services.
      • Your violation of these Terms of Use.
      • Your content or information provided on the Services.
      • Your breach of any third-party rights.

    Governing Law and Dispute Resolution

    Governing Law: These Terms of Use and any non-contractual rights or obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai.

    Dispute Resolution: Any disputes or claims arising out of or in connection with these Terms of Use, including any non-contractual rights or obligations arising out of or in connection with these Terms of Use, shall be referred to and finally resolved by the courts of the Emirate of Dubai.

    Relationship of the Parties

    Nothing contained in these Terms of Use will be deemed or construed by the parties or any third party to create the relationship of partnership, joint venture, or agency between the parties. It is understood that the parties will at all times remain independent parties contracting for Services provided by Safqqa.

    Assignment

    These Terms of Use will be binding upon and ensure to the benefit of the parties and their respective successors and permitted assigns. You agree that you will not assign or transfer these Terms of Use or any of your rights or obligations under these Terms of Use, whether directly or indirectly, without first obtaining Safqqa's prior written consent, such consent not to be unreasonably withheld.

    Entire Agreement

    These Terms contain the entire agreement between the parties with respect to the subject matter and supersede all prior agreements, negotiations, and representations, written or oral, relating to its subject matter. Except as provided in these Terms of Use, there are no conditions, representations, warranties, undertakings, or agreements between the parties whether direct, indirect, collateral, express, or implied.

    Severability

    If any provision of these Terms of Use is determined by any court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be severed from these Terms of Use and the remaining provisions will continue in full force and effect so long as the economic or legal substance of the transactions contemplated hereby is not affected in any manner materially adverse to either of the parties.

    Force Majeure

    Neither party will be liable for any loss or damage or for any delay or failure in performance due to acts beyond the control of such party, whether or not such acts could reasonably be anticipated. This includes, but is not limited to, acts of God, legislative or pandemic actions, judicial or regulatory acts of any governmental authority, actions of any subcontractors or third-party providers, labor disruptions, blackouts, or embargoes.

    Waiver

    Any waiver by Safqqa of any of the provisions of these Terms of Use will not constitute a waiver of any other provision (whether similar or not), nor will any such waiver constitute a continuing waiver of that particular provision, unless expressly provided by Safqqa in writing.

    Survival

    All provisions that either expressly or by their nature survive, will survive suspension or termination of your membership of the Safqqa platform.

    Safqqa Marketplace and Seller Roles

    Product Availability: Products on the Safqqa platform may be offered directly by Safqqa or one of its affiliates, or by independent local or international sellers as indicated on the website or mobile application. When you purchase from an independent seller, Safqqa acts as a facilitator, providing the platform for buyers and sellers to connect and complete transactions. Safqqa is not the buyer or seller of the product in such instances.

    Order Acceptance and Notification: Upon submitting your order, you will receive a confirmation email or mobile message acknowledging receipt. However, this does not guarantee order acceptance. Safqqa reserves the right to decline or cancel orders at its discretion, which you will be promptly notified of.

    Payment Authorization: Once your order is accepted, you authorize Safqqa or its designated third-party payment processor to process your chosen payment method (credit/debit card) for the order amount.

    Order Cancellations: You may cancel your order at any point before it enters the shipping process. Safqqa may also cancel orders under certain circumstances, including:

      • Non-payment by you within the specified timeframe.
      • Failure to provide necessary information for fulfilling your order within a reasonable response period.
      • Inability to deliver the products due to your reasons within a reasonable timeframe.
      • Attempts to place bulk or multi-order purchases in violation of Safqqa's policies.
      • Unforeseen situations where the ordered product(s) are no longer available.

    Delivery of Your Order:

      • Delivery Costs: Delivery fees and details will be clearly displayed on the Safqqa website or mobile app.
      • ID Verification: For security purposes, Safqqa may request additional information or documentation (including ID and/or credit card) to verify your identity at its sole discretion. Failure to provide valid information may result in order cancellation.
      • Overseas Deliveries: If your order requires overseas shipping, you may be considered the importer of record. You are responsible for ensuring the ordered products comply with all import laws and regulations, and for paying any applicable fees and customs duties.
      • Ownership Transfer: Title and responsibility for the product transfer to you upon delivery to the designated address and full payment.
      • Invoice: You will receive an electronic invoice for your purchase sent to the email address provided.

    Liability:

    Safqqa (including its parent company, shareholders, subsidiaries and affiliates, directors, officers, agents, employees, suppliers, and subcontractors) will not be held liable for:

      • Losses unrelated to a breach of these Terms by Safqqa.
      • Business losses (including loss of profits, revenue, contracts, anticipated savings, data, goodwill, or wasted expenditure).
      • Indirect or consequential losses that were not reasonably foreseeable by both parties at the time of the product purchase agreement.

    Safqqa will not be liable for any delays or failures to fulfill its obligations under these Terms if they are caused by circumstances beyond its reasonable control. This does not affect your right to receive your products within a reasonable timeframe.

    Governing Law and Dispute Resolution:

    These Terms and any non-contractual rights or obligations arising from them shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai. Any disputes or claims arising from or in connection with these Terms, including any non-contractual rights or obligations arising from them, shall be referred to and finally resolved by the courts of the Emirate of Dubai.
